These Terms of Service ("Terms") govern your access to and use of the Ridex platform ("Service"), operated by Ridex Labs Inc. ("Ridex," "we," "us," or "our"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
Ridex is an AI infrastructure platform that provides API key management, request routing, spend controls, and observability for applications. The Service acts as an intermediary gateway that routes requests to third-party AI model providers ("Upstream Providers"), such as OpenAI, Anthropic, and Google. The Service includes the Ridex dashboard, API access, SDK, documentation, and related tools.
Ridex Labs Inc. is not the creator, developer, or operator of the underlying AI models accessed through the Service. Ridex does not control, verify, or guarantee the behavior, outputs, availability, or performance of any Upstream Provider or their models.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

You are solely responsible for all losses arising from unauthorized access to your account, except to the extent caused by our gross negligence or willful misconduct (subject to the limitation of liability in Section 17). We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service.
Ridex API keys are issued with a prefix designation (rdx_live_ for production, rdx_test_ for development) and are bound to a specific application Bundle ID for validation. API keys are designed to be safely embedded in application binaries (iOS, macOS, and other Apple platforms) when used with Bundle ID validation and budget controls. However, API keys must not be shared publicly, posted in public repositories, embedded in web client-side code (JavaScript), or disclosed to unauthorized parties outside of your application binary.
Production API keys (rdx_live_) require Apple App Attest device verification. The SDK automatically performs a one-time cryptographic attestation per device using the device's Secure Enclave and attaches a per-request assertion to verify authenticity. This process collects non-identifying device metadata (device model, OS version, app version, locale) which is stored alongside the attestation record and visible in your dashboard. Development API keys (rdx_test_) do not require device attestation and should never be used in production application builds — doing so bypasses device verification and exposes your gateway to unauthorized use.
When you add third-party provider API keys (e.g., OpenAI, Anthropic, Google) to the Service, you do so voluntarily. You authorize us to store and use those keys solely to fulfill requests made through your Ridex gateway. Third-party keys are encrypted at rest using AES-256 and are never stored in plaintext or included in logs.
You are solely and exclusively responsible for:
Ridex Labs Inc. accepts no financial responsibility whatsoever for any charges billed to you by third-party AI providers, including charges resulting from unauthorized access, key misuse, service errors, or any failure of the Service. The budget controls and spend alerts offered by the Service are provided as a convenience only and do not constitute a guarantee against overspend on your provider accounts.
We may revoke API keys immediately and without notice if they are compromised or used in violation of these Terms. Upon termination, you must immediately delete all API keys and cease all use of the Service. You must immediately revoke any compromised keys directly with your provider and notify us at support@getridex.com if you suspect unauthorized access to your Ridex account.
You agree not to use the Service to:

The Service provides access to AI models from various Upstream Providers. Models may be added, modified, deprecated, or removed at any time without prior notice. We make no guarantees regarding the continued availability of any specific model, model version, or model capability. You acknowledge that:
You must not engage in prompt injection, jailbreaking, adversarial attacks, or any other form of security testing against AI models accessed through the Service without our prior written approval. This includes but is not limited to:
If you wish to conduct legitimate security research, you must submit a written request to support@getridex.com. We will review requests within 5 business days. Unauthorized security testing may result in immediate account termination without notice.
You acknowledge that the Service routes requests to Upstream Providers (such as OpenAI, Anthropic, Google, and others) and that your use of the Service is also subject to the terms, acceptable use policies, and usage policies of those Upstream Providers. You agree to comply with all applicable Upstream Provider terms. We may suspend or terminate your access immediately for violations of Upstream Provider terms.
We are not responsible for any changes to, or any suspension or discontinuation of, any Upstream Provider's services, models, pricing, or policies.
Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information includes API keys, stored third-party provider credentials, account credentials, pricing terms, usage data, and any technical or business information disclosed in connection with the Service.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; (d) is lawfully obtained from a third party without restriction; or (e) is required to be disclosed by law, regulation, court order, or other legal process, provided the receiving party gives the disclosing party reasonable prior written notice (where legally permitted) to allow the disclosing party to seek protective measures.
Nothing in this Section prevents either party from using or disclosing aggregated or anonymized data that cannot reasonably be attributed to or identify the other party.
This confidentiality obligation survives for three (3) years following the termination of these Terms.
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE AND ANY OUTPUTS GENERATED THROUGH THE SERVICE ARE ENTIRELY AT YOUR OWN RISK.
Outputs generated through the Service are produced by third-party AI models operated by Upstream Providers. Ridex Labs Inc. does not generate, control, verify, endorse, or guarantee any outputs. Outputs may contain material inaccuracies even if they appear accurate because of their level of detail or specificity. Outputs may not reflect correct, current, or complete information and may contain content inconsistent with the views of Ridex Labs Inc. or any Upstream Provider.
YOU ARE SOLELY RESPONSIBLE FOR:
You must not rely on any outputs as a sole source of truth, factual information, or as a substitute for professional advice.
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, AND QUIET ENJOYMENT, AND THE IMPLIED WARRANTIES ARISING FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE IN TRADE.
RIDEX LABS INC. MAKES NO WARRANTY OR REPRESENTATION THAT:
RIDEX LABS INC. MAKES NO WARRANTY OR REPRESENTATION REGARDING THE AVAILABILITY, ACCURACY, PERFORMANCE, OR SUITABILITY OF ANY UPSTREAM PROVIDER'S SERVICES, MODELS, OR OUTPUTS. THE BUDGET CONTROLS, SPEND ALERTS, AND ROUTING FEATURES OFFERED BY THE SERVICE ARE PROVIDED ON A BEST-EFFORT BASIS. WE MAKE NO GUARANTEE THAT THESE FEATURES WILL PREVENT OVERSPEND, UNAUTHORIZED USAGE, OR FINANCIAL LOSS ON YOUR THIRD-PARTY PROVIDER ACCOUNTS.
ANY CONTENT OR DATA OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIDEX LABS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS INTERRUPTION, PROPERTY DAMAGE, ANTICIPATED SAVINGS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF RIDEX LABS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SPECIFICALLY AND WITHOUT LIMITATION, RIDEX LABS INC. IS NOT LIABLE FOR ANY CHARGES BILLED TO YOU BY THIRD-PARTY AI PROVIDERS (INCLUDING OPENAI, ANTHROPIC, GOOGLE, OR ANY OTHER PROVIDER), REGARDLESS OF THE CAUSE, INCLUDING BUT NOT LIMITED TO: UNAUTHORIZED USE OF STORED KEYS, SERVICE OUTAGES, ROUTING ERRORS, BUDGET CAP FAILURES, OR ANY OTHER MALFUNCTION OF THE SERVICE.
WITHOUT LIMITING THE FOREGOING, RIDEX LABS INC. SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM:
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
THE FOREGOING LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND RIDEX LABS INC. WOULD NOT OFFER THE SERVICE TO YOU UNDER THESE TERMS WITHOUT THESE LIMITATIONS.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER THE CONSUMER PROTECTION ACT, 2002 (ONTARIO) OR ANY OTHER MANDATORY CONSUMER PROTECTION LEGISLATION IN YOUR JURISDICTION.
You agree to indemnify, defend, and hold harmless Ridex Labs Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
Your indemnification obligations do not apply to the extent that a claim arises solely from Ridex Labs Inc.'s gross negligence or willful misconduct.
Ridex Labs Inc. reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. This indemnification obligation shall survive the termination of these Terms and your use of the Service.
We may modify these Terms at any time by posting a revised version on our website and updating the "Last Updated" date. We will provide notice of material changes through the Service or by email at least 14 days before they take effect. By continuing to use the Service after the effective date of any modification, you agree to be bound by the modified Terms. If you do not agree to any modification, your sole remedy is to discontinue use of the Service and terminate your account.
We may change, update, or discontinue the Service or any features at any time without liability to you.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us at support@getridex.com and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration: If the dispute is not resolved informally, it shall be resolved by binding arbitration administered by the ADR Institute of Canada (ADRIC) under its Arbitration Rules, or such other arbitration institution as the parties may agree. The arbitration shall be seated in the Province of Ontario, Canada, conducted in English by a single arbitrator. The arbitrator's decision shall be final and binding.
Arbitration Costs: For claims under CAD $10,000, Ridex Labs Inc. will reimburse your arbitration filing fees and, if the arbitrator determines that your claim is not frivolous, will pay the arbitrator's fees. For claims above CAD $10,000, arbitration costs shall be allocated in accordance with the applicable arbitration rules.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court in the Province of Ontario for disputes within that court's jurisdiction.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Arbitration Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to support@getridex.com within thirty (30) days of first accepting these Terms, or within thirty (30) days of any material modification to this Section 21. If you opt out, disputes will be resolved in the courts of the Province of Ontario.
Equitable Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.
